POST & BEAM STUDIOS — SERVICE AGREEMENT
This agreement is between Post & Beam Studios ("Provider"), operated by Kegan Ball, and the client named in the accompanying invoice ("Client").
1. SCOPE OF WORK
Provider agrees to complete the services described in the attached invoice/quote. Any work not specifically listed is outside the scope of this agreement and will be quoted separately if requested.
2. PAYMENT TERMS
A non-refundable deposit of 50% is due before work begins. The remaining balance is due upon project completion and Client approval, before the final deliverable is made live or transferred. Monthly services are billed on the first of each month.
3. REVISIONS
One round of revisions is included with Website Cleanup projects. Two rounds of revisions are included with full website builds. Additional revisions beyond the included rounds will be billed at $75/hour.
4. TIMELINE
Provider will complete the work within the estimated timeline stated in the proposal. Timelines may be extended if Client does not provide required materials (login credentials, logo, content, photos) within 3 business days of project start.
5. CLIENT RESPONSIBILITIES
Client agrees to provide: necessary login credentials, logo files, photos, and written content or approval to write content on their behalf. Client will respond to review requests within 48 hours during the project.
6. OWNERSHIP
Upon receipt of full payment, all work product created for this project becomes the sole property of the Client. Provider retains no rights to the deliverables.
7. CANCELLATION
Client may cancel at any time. The deposit is non-refundable as it covers work already performed. If Client cancels after work has begun, Client owes payment for hours completed at $75/hour, not to exceed the total project price.
8. HOSTING & MAINTENANCE
If Provider hosts Client's website, Client understands this is a monthly service that can be cancelled with 30 days written notice. Upon cancellation, Provider will transfer all website files to Client within 5 business days.
9. SOCIAL MEDIA MANAGEMENT
Monthly social media management services require 30 days written notice to cancel. Provider will deliver a final month of content upon notice of cancellation.
10. CONFIDENTIALITY
Both parties agree to keep any shared login credentials, business information, and proprietary details confidential. Provider will delete client credentials from all systems upon project completion.
11. LIMITATION OF LIABILITY
Provider's total liability is limited to the amount paid by Client under this agreement. Provider is not liable for indirect or consequential damages.
